I. General provisions

These Terms and Conditions govern access to and use of the website digimbit.com (the “Site”), operated by TETHER MART S.A.P.I. DE C.V. (“DIGIMBIT”), with registered address at Av. Rodolfo Gaona N°3, Piso 5 Int. 502, Colonia Lomas De Sotelo, Alcaldía Miguel Hidalgo, C.P. 11200, Ciudad de México.

Access to the Site implies full acceptance of these Terms and of the Privacy Notice published on the Site. If you do not agree with any part of them, you must refrain from using the Site.

II. Purpose and nature of the Site

The Site aims to provide general information about services, products, projects and technological solutions developed or promoted by DIGIMBIT, mainly in the field of virtual assets, cryptocurrencies, blockchain technology, digital–analysis tools, technology education and complementary services.

The content has an exclusively informational and educational nature and is intended to share knowledge about the digital ecosystem and to facilitate contact between users and DIGIMBIT. Under no circumstances should it be interpreted as:

  • Financial, tax, legal or accounting advice.
  • A public or private offer of securities, virtual assets or financial instruments.
  • A recommendation or invitation to invest in, buy, sell or hold digital assets.
  • A guarantee of economic performance, profitability or specific results.

Use of the Site does not create any contractual, fiduciary, employment or advisory relationship between the user and DIGIMBIT, unless a separate written or electronic agreement is expressly executed.

DIGIMBIT reserves the right, at any time and without prior notice, to modify, update, suspend, restrict or discontinue partially or totally the contents, features, sections or services of the Site, as well as to change its design, configuration, interface or access conditions.

DIGIMBIT does not guarantee the uninterrupted availability of the Site or the absence of errors or technical failures caused by factors beyond its control, including failures in servers, connections, networks, providers or third–party systems.

Access to and use of the Site implies full acceptance of these Terms and Conditions and any future amendments.

III. User capacity and requirements

3.1 Legal capacity

The Site is intended for individuals who are at least 18 years of age and have full legal capacity under Mexican law. Legal entities shall act through duly authorized legal representatives.

3.2 Declarations

By accessing the Site, the user declares that they are of legal age, that the information they provide is truthful and complete, that they will not use the Site for unlawful purposes, and that they understand the risks associated with virtual assets.

3.3 Identity verification

DIGIMBIT may request official identification, supporting documents or tax information in accordance with anti–money–laundering regulations, the Fintech Law and other applicable provisions. Refusal to provide such information may lead to denial of services.

IV. Risk acknowledgement

The user expressly acknowledges and accepts that virtual assets, cryptocurrencies and operations related to blockchain technology involve financial, technological, operational and regulatory risks. Use of these instruments or technologies must be carried out with full knowledge and under the user's sole responsibility.

Among the main risks (without limitation) are: high price volatility; lack of comprehensive regulation or financial–authority supervision; technological vulnerabilities; limited liquidity; irreversibility of transactions; absence of guarantees or deposit insurance; and regulatory changes that may affect the value, use or legality of virtual assets.

The user assumes full responsibility for all investment, exchange, custody or use decisions involving virtual assets and holds DIGIMBIT harmless from any losses, damages or harm resulting from such decisions. DIGIMBIT strongly recommends obtaining specialized professional advice (financial, tax, technological and legal) before carrying out operations with virtual assets.

V. Permitted and prohibited conduct

5.1 User obligations

The user agrees to use the Site responsibly, ethically and in compliance with applicable law and these Terms and Conditions. In particular, the user undertakes to:

  • Provide truthful, complete and up–to–date information when registering or interacting with the Site.
  • Use the Site exclusively for lawful and personal purposes, refraining from fraudulent, speculative or unlawful activities.
  • Respect the intellectual and industrial property rights of DIGIMBIT and third parties, including trademarks, trade names, databases, source code, texts, images and other content.
  • Immediately notify DIGIMBIT of any unauthorized use, irregularity, breach or suspected unlawful activity related to their account or use of the Site.
  • Maintain the confidentiality of their access credentials and prevent access by unauthorized third parties.

5.2 Prohibited activities

The user is strictly prohibited from engaging in, among others, the following activities:

  • Using the Site to commit or facilitate unlawful activities, including money laundering, fraud, terrorist financing, tax evasion, market manipulation or any other crime under applicable law.
  • Forging, altering or impersonating the identity of individuals or legal entities.
  • Accessing, intercepting or manipulating without authorization any IT systems, servers, databases or networks linked to the Site.
  • Uploading or distributing malicious code, viruses, ransomware, spyware or any software intended to damage or interfere with the Site or third parties.
  • Copying, reproducing, distributing, modifying, selling or commercially exploiting any content of the Site without DIGIMBIT's prior written consent.
  • Using automated programs, bots, crawlers or scraping techniques to collect information or perform automated actions within the Site.
  • Publishing or transmitting defamatory, obscene, discriminatory, threatening or otherwise unlawful content, or content that incites violence, hatred or discrimination.
  • Interfering with the availability, security or normal use of the Site or the experience of other users.

5.3 Consequences of non–compliance

Any breach of the obligations or prohibitions above entitles DIGIMBIT, immediately and without prior notice, to:

  • Suspended or cancel the user's access to the Site and/or associated services.
  • Remove or block any content that violates these Terms or applicable law.
  • Report relevant conduct to competent national or international authorities.
  • Bring legal actions to protect its rights and seek compensation for damages.

VI. Intellectual property

All content, software, source code, designs, interfaces, logos, trademarks, trade names, texts, graphics, images, videos, databases and other materials available on the Site are the exclusive property of DIGIMBIT or third–party licensors and are protected by Mexican law and international treaties on intellectual and industrial property.

Access to or use of the Site does not grant any license or transfer of intellectual or industrial property rights to the user. Only a limited, non–exclusive, non–transferable and revocable license for personal, non–commercial use of the Site is granted, in accordance with these Terms and Conditions.

The following actions are strictly prohibited:

  • Reproducing, modifying, copying, distributing, transmitting, publicly displaying, selling or exploiting for commercial purposes any content from the Site without DIGIMBIT's prior written authorization.
  • Using DIGIMBIT's name, logo or institutional image in ways that may cause confusion, damage reputation or imply an unauthorized association.
  • Decompiling, reverse engineering or attempting to derive the source code of the Site or its applications.

Any unauthorized use of the content may constitute a violation of applicable laws and entitles DIGIMBIT to initiate the corresponding legal actions and seek compensation.

VII. Personal data protection

DIGIMBIT recognizes the importance of privacy and protection of users' personal data and undertakes to process such data in accordance with the principles established in the Federal Law on Protection of Personal Data Held by Private Parties and its regulations.

The processing of personal data collected through the Site is governed by the applicable Privacy Notice, which describes in detail the types of data collected, purposes of processing, use of cookies and tracking technologies, transfers, security measures and mechanisms for exercising ARCO rights (access, rectification, cancellation and opposition).

VIII. Third–party links

The Site may contain links to third–party websites. DIGIMBIT does not control and is not responsible for their content, policies, practices or security. Access to those sites is at the user's sole risk.

IX. Availability and warranties

DIGIMBIT will use reasonable efforts to keep the Site available; however, interruptions may occur due to maintenance, technical failures, cyber–attacks or force majeure events.

X. Limitation of liability

To the maximum extent permitted by law, DIGIMBIT shall not be liable for direct or indirect damages arising from the use of the Site, including but not limited to economic losses, decisions made by the user, volatility of virtual assets, acts of third parties, force majeure or breaches attributable to the user.

XI. Amendments

DIGIMBIT may amend these Terms at any time by publishing the updated version on the Site. Continued use of the Site after such publication implies acceptance of the amendments. It is the user's responsibility to periodically review the Terms.

XII. Governing law and jurisdiction

These Terms and Conditions are governed by the federal laws of Mexico, including data protection and financial regulations and other applicable provisions.

Any dispute shall be submitted to the exclusive jurisdiction of the competent courts in Mexico City, and the parties expressly waive any other jurisdiction that may correspond to them.

XIV. Final provisions

If any provision of these Terms is declared invalid, the remaining provisions shall remain in full force and effect. DIGIMBIT's failure to exercise any right shall not constitute a waiver thereof. These Terms together with the applicable Privacy Notice constitute the entire agreement between DIGIMBIT and the user in relation to the Site.
